The SEC Just Gave Tokenized Stocks a Five Year Runway
Two days after the CLARITY Act stalled in the Senate, the SEC routed around Congress. On Thursday the agency unveiled the Innovation Exemption, a five year safe harbor letting platforms trade tokenized stocks and other securities that live on blockchains, outside many of the rules that govern the Nasdaq and NYSE. Tokenized shares, digital representations of real company stock that settle on blockchains, just got their clearest path yet to American investors.
The details favor builders. Platforms get five years of relief from exchange style regulation, and liquidity providers get five years of relief from dealer registration. Before listing a tokenized version of a company's stock, a platform has to notify the issuer, and if the company objects, the token stays off the market. Synthetic tokens, derivatives dressed up as stock exposure, are excluded entirely. Only tokens backed by real shares qualify.
SEC Chair Paul Atkins framed it as unlocking responsible innovation with investor protections and market integrity intact. The industry pitch is straightforward: shares that trade around the clock, settle instantly, cost less to move, and can sit in your own wallet in fractional amounts. Coinbase has signaled it will launch tokenized stocks in the United States when the rules allow, while Robinhood, Kraken, and others already offer them overseas.
The timing tells you where the energy is. Hours after issuing the exemption, the SEC hosted a roundtable on bringing American markets to 24 hour trading, the schedule crypto has treated as normal for over a decade. Atkins told the room the industry is moving to a new day, and night, where investors react to events as they happen. Commissioner Hester Peirce noted that crypto markets run around the clock, and traditional finance is now taking notes.
There is a bigger pattern here. With the CLARITY Act's Senate path uncertain, the agencies are writing the rulebook themselves: the SEC on tokenization and trading hours, the CFTC alongside it. For an industry that spent years asking for clarity, clarity is arriving, just through agency action instead of legislation.
The market noticed immediately. Crypto linked stocks including Coinbase, Robinhood, and Circle rose at least 3 percent in trading after the announcement, and Bitcoin ticked higher, erasing the slide that followed the Senate's stalled cloture vote. In a video message, Atkins said the agency is using its statutory authority to ensure progress continues with the CLARITY Act stalled in the Senate. The message to the industry: keep building, the referees are writing rules while the legislators regroup.
